Same problem with 3.2.0-24-generic-pae (Lenovo T61).
Shut down does not completly power off the pc, it just turns off the monitor.
Suspend works fine.

Solved on my system with the following workaround. Run:
sudo xdiagnose
and disable VESA framebuffer driver and disable PAT memory.
