lspci shows that I have:
04:00.0 Ethernet controller: Realtek Semiconductor Co., Ltd. RTL8111/8168B PCI Express Gigabit Ethernet controller (rev 01)

My motherboard is Gigabyte GA-P35-DS3R Rev. 2.0 and I'm running a 2.6.24.3 x86_64 kernel.

I've shutdown several times over a period of a couple days now, and WOL still works well. PY--you've probably checked this, but you aren't using any kind of network manager application that would be bringing your interface up or down? I know Fedora has something like that.
