Sorry for the confusion .... i was looking at the old kernel source.
In 2.6.31 kernel the asic_down is not called from the rtl8169_suspend function anymore... therefore there could be just one change in the rtl8169_shutdown procedure.
I guess the spin_lock / spin_unlock is called because of the asic_down and could be omitted too ....
