Same problem here.
Same kernel and same logs.
This problem always appears with a new HWE kernel branch on Ubuntu (6.5.0-14-generic #14~22.04.1-Ubuntu)
If you start with any other old kernel (e.g., Kernel 6.2), it works fine.

I have the same problem unfortunately booting kernel 6.2 doesn't work either because of an nVidia kernel module mismatch:

kernel: NVRM: API mismatch: the client has the version 535.146.02, but
        NVRM: this kernel module has the version 535.129.03. Please
        NVRM: make sure that this kernel module and all NVIDIA driver
        NVRM: components have the same version.

This should be fixed ASAP, since at least for nVidia users there seems to be currently no way to use VirtualBox with Ubuntu distributed packages any more. Considering that this bug is known for more than a month now I wonder why the Kernel 6.5 update was rolled out to LTS before this issues was resolved?

I had the same issue with VirtualBox 6. After upgrading to VirtualBox 7 all works fine again.

I think it affects all applications which need dkms with kernel 6.5.
My solution for VirtualBox was to deinstall kernel 6.5; more details in the French forum: https://forum.ubuntu-fr.org/viewtopic.php?id=2083208

apt-get update && apt-get upgrade; apt-get install tzdata virtualbox virtualbox-dkms virtualbox-qt

fixed everything for me.

Hi!

10 seconds after reading this email I  run apt-get update that tells me
that tzdata virtualbox-guest-additions-iso will be held back but
virtualbox and   virtualbox-dkms virtualbox-qt will be upgraded.
