I had a similar problem running the amd64 version of hardy. I read this changelog: http://changelogs.ubuntu.com/changelogs/pool/universe/v/virtualbox-ose-modules/virtualbox-ose-modules_18/changelog, and it seems like they dropped the virtualbox-ose-modules virtual package. I uninstall all virtualbox packages. Then installed virtualbox-ose and virtualbox-ose-modules-2.6.24.14-generic and restarted. Then everything worked.

The changelog mentioned that they switched from the virtual package to 'provides', but I still had to explicitly install the above modules package.

Chris, by using "Provides" you have a "virtual package" (it's not a real package).
You should install the meta package for your kernel flavor, e.g. virtualbox-ose-modules-generic, so it gets upgraded automatically (when there's a new kernel and module for it).
