Cannot upgrade from 12.02 to 14.01

Bug Description
GUI tells me "new release is available" .. I click "Upgrade.". .. it runs a bit and then stops with an error:
could not calculate the upgrade .. an unresolvable problem occurred while calculating the upgrade ..
it lists 3 causes... and then instructs me to run ubuntu-bug ubuntu-
Must I completely wipe my hard disk and do fresh install? How can I find out what is causing the upgrade to fail?
