Upgrade from 10.04 to 12.04 failed: Could not calculate the upgrade

Bug Description

An unresolvable problem occurred while calculating the upgrade:
E:Unable to correct problems, you have held broken packages.

Ran update-manager -d and the upgrade fails every time on calculating. I have disabled all other software repositories in software center and it still fails. will have to do a fresh install with the iso but just wanted to try an upgrade.
