I have been able to disable network-manager, and get wpa_supplicant and the madwifi drivers running without any disconnects, it seems the background scanning is definately the problem.
As a suggestion for a fix, at least until madwifi gets fixed, perhaps adding the functionality in network manager to disable background scanning, and also an option for manual scanning for when it's needed.
