i think after i reset my debian-sys-maint password with the one at /etc/mysql/debian.cnf ; here are the result:

fenris@thinkbuntu:~$ sudo /etc/init.d/mysql restart
 * Stopping MySQL database server mysqld [ OK ]
 * Starting MySQL database server mysqld [ OK ]
 * Checking for corrupt, not cleanly closed and upgrade needing tables.

after upgrade to mysql-server-5.1 (5.1.37-1ubuntu5) also i have no problem after i change password according to /etc/mysql/debian.cnf.
