This problem (and vbox problem) occurs because you are trying to use the 3.8.x kernel. Revert to using the original 3.2.x kernel that comes with precise, and it will allow the modules to build.

It happend after I installed linux-image-generic-lts-raring and after that linux-headers-3.5.0-28-generic which tried to compile the fglrx .
I had no such a problem with linux-image-generic-lts-quantal and kernel 3.5 headers are installed and everything was compiled ok. (and I'm using it now) I thought it will be the same for raring . (also having lts in their name had a great role in thinking they should work)

sorry I meant 3.8 headers not 3.5 headers

See also Issues 1182666 and 1184040, which are marked as duplicates. These are in fact raring upgrades on 32-bit, so this problem is not restricted to running on 64-bit architecture.
