I've upgraded to 12.04 and emacs23 won't install cleanly.

Same problem here.
My solution was to purge all packages named *emacs* and then install emacs, xemacs21 etc. again. This worked for me.

Yes, purging all the other emacs/xemacs packages and the installing cleared up the problem.
