It might be the audio codec's power-saving feature:
"The power-saving feature might cause audible click noises at each
power-down/up depending on the device. Some of them might be
solvable, but some are hard, I'm afraid... Thus, if you hear noises, suspect first the
power-saving. See /sys/module/snd_hda_intel/parameters/power_save to
check the current value. If it's non-zero, the feature is turned on."

Dave, thank you for the answer. Changing value of /sys/module/snd_hda_intel/parameters/power_save on-the-fly didn't help me. But definitely it's something about power saving. Because if I suspend/resume laptop on AC power - there is no problem with sound. If I do the same operations on battery power - sound is popping (I checked with aplay /usr/share/sounds/alsa/Front_Center.wav). If with "bad" sound I connect laptop to AC power - sound became normal. So maybe this is something in /sys that can help me. I will try to find it.
I updated BIOS to latest version - it didn't help.
I also checked with Kubuntu 12.10 live cd - there is no sound at all after suspend on battery power (after suspend on AC power it's all ok)
