From the log file:

2012-02-16 15:11:12,701 ERROR Could not calculate the upgrade An unresolvable problem occurred while calculating the upgrade:
E:Error, pkgProblemResolver::Resolve generated breaks, this may be caused by held packages.

 This can be caused by:
 * Upgrading to a pre-release version of Ubuntu
 * Running the current pre-release version of Ubuntu
 * Unofficial software packages not provided by Ubuntu

If none of this applies, then please report this bug using the command 'ubuntu-bug update-manager' in a terminal. (None)
2012-02-16 15:11:12,701 ERROR Dist-upgrade failed: 'E:Error, pkgProblemResolver::Resolve generated breaks, this may be caused by held packages.'

Since you are upgrading to a pre-release version of Ubuntu, 12.04, it is likely this is a temporary issue.

There has been no response in a month, and without the apt log file we cannot go ahead with this. Since then we did several upgrade fixes, so either the problem has been fixed, or precise changed enough that we need a new log file anyway. Thank you for your report!
