Just packed it's bags and went... RC
Clean install to VM with 1024RAM, 1CPU, VT-x and nested paging 'on', 8Gb disk, 128Mb video, 3D 'on'; previously running 11.10 OK.

One of the updates to Virtualbox4.1.8 has included an adaption to Ubuntu12.04, which is needed to run it stable.
So the propability is there that you have hit it with 4.1.6.
Please install VB4.1.8 and retry.
