There are a lot of old files in there. Run this to clean it out:

sudo rm /var/log/dist-upgrade/*

Then try and upgrade again and if it fails attach the new files in that directory.

The package is on hold for some reason. Try running this:

sudo apt-get install mountall

Then run:

dpkg -s mountall

And just paste the "Status" part of the output.

Then,

sudo apt-get update

Yeah, thats on hold too. Run this:

sudo echo upstart install | dpkg --set-selections

Then: sudo apt-get update

Now try to upgrade the machine again. If it fails, attach the /var/log/dist-upgrade logs.

Upgrade worked, but after restart server haven't started. Unfortunately as it's virtual server I am unable to connect and find out what's wrong until SSH server starts. So I had to restore backup.
