package virtualbox-ose-dkms 3.2.8-dfsg-2ubuntu1 failed to install/upgrade: virtualbox-ose kernel module failed to build (error: ‘nmi_watchdog’ undeclared)

i upgrade my kernel to 2.6.38 for my graphics card driver installation, after that, i found the virtualbox-ose-dkms package always alert install/remove failed, i found a way to ignore it, that's install the lastest version of Oracle VM VirtualBox. i didn't need this package any more, but never remove successfully, it always notice below my other dpkg installation.
