Thanks for taking the time to submit this bug.

You are running on a backported 2.6.38 kernel. The open-vm-dkms package compiles kernel modules which are very sensitive to ever-changing kernel versions, so the stock lucid package cannot be made to compile for future kernels.

I do believe a backport of open-vm-tools (see https://help.ubuntu.com/community/UbuntuBackports) to match the kernel backports would be very appropriate. Submitting a request for that would seem like a good idea.
