this error happend during system upgrade from 10.04 to 12.04,
workaround(?) i've killed process from terminal, and upgrade goes on.

This error message is a result of you killing the process, right? Which exact process was it and what was the reason you had to kill it? Was it hanging?
Anyway, you probably don't need laptop-mode-tools if this is a standard 12.04 installation. It is not included in the default install. So you can remove the package if you like.
