This installation is a fresh 12.04LTS onto bare metal on a new box, not an upgraded one. Stopping the smtpd process (/etc/init.d/smtpd stop) allowed the update to go through. (I see that this is what allowed 984499's filer to update/upgrade as well, but thought I should add in the extra info.)
