On upgrading to 12.04 from 11.10 ..shows error quoting "system might not boot properly"

That's pretty weird... Assuming you still have access to this machine, can you please add the output of:
 - "ls -l /etc/services*"
 - "dmesg"

The operation not permitted sounds like something is pretty wrong with the file (it being a mount target for example) or something's off with the kernel/filesystem.
